Terms and Conditions of Use

1. Purpose and acceptance

These Terms and Conditions govern the use of the HeliceX application and web portal (hereinafter, "the Service"), offered by EMG Eficiencia Energética S.R.L., tax ID (CUIT) 30-71480541-6, with registered address at Laprida 518, 11th floor, Rosario, province of Santa Fe, Argentina (hereinafter, "HeliceX").

By creating an account, logging in or using the Service, the Club declares that it has read and accepted these Terms. If it does not agree, it must not use the Service. Acceptance is recorded with its date and version.

2. Definitions

3. Sign-up, accounts, trial period and access

1. The Club's account is created by HeliceX once the subscription is agreed, or by the Club through the trial sign-up.
2. The trial period lasts 30 calendar days from the first login. When it expires, access is suspended until the Club subscribes.
3. The Club is responsible for keeping its username, password, admin PIN, judges' code and range director password secret. Everything done with those credentials is considered done by the Club.
4. The Club must notify HeliceX immediately if it suspects that someone accessed its account without authorization.
5. Each account is for a single Club. It may not be assigned, sold or shared with another institution.

4. Subscription, price, renewal and payment

1. The Service is provided under an annual subscription, at the current price informed by HeliceX at the time of subscribing or published at helicex.com.
2. Payment methods: bank transfer or Mercado Pago for clubs in Argentina, and PayPal for clubs abroad, unless another method is agreed in writing.
3. Payment is made in advance. The subscription is renewed for a new year only if the Club pays the renewal before the expiry date.
4. If the renewal is not paid within 15 days after the expiry date, HeliceX may suspend access without further notice.
5. Amounts paid are non-refundable, in whole or in part, except as provided by mandatory law.
6. HeliceX may change prices for future renewals, giving at least 30 days' notice. The price of a year already paid does not change.
7. Taxes and bank or payment platform fees are borne by the Club.

5. Permitted use and Club obligations

The Club undertakes to:

• Use the Service only to organize and promote sport shooting tournaments, in accordance with the law and the rules of the activity.
• Enter truthful information and check results, standings, prizes and amounts before announcing or paying them.
• Inform its Shooters about the use of their data and obtain their consent, including that of parents or guardians in the case of minors.
• Not upload illegal or offensive content, content that infringes third-party rights, or data it does not need for the tournament.
• Not attempt to access other clubs' accounts or data, interfere with the operation of the Service, copy it, decompile it or resell it.
• Keep its own copies (PDFs, sheets) of the information it considers important.

The Club is solely responsible for organizing the tournament, safety at its premises, applying the rules, its judges' decisions and the delivery of prizes.

6. Personal data

1. Roles. Regarding its Shooters' data, the Club is the data controller and HeliceX acts as data processor: it processes the data only to provide the Service and according to the Club's instructions, in accordance with Argentine Personal Data Protection Law No. 25,326.
2. Data processed. Shooters' first and last name, ID number, phone, town, category, results and payment status; and the Club's name, email and contact details.
3. Purpose. Managing registrations, results, standings, prizes, payments and the promotion of tournaments. HeliceX does not sell or transfer this data to third parties for commercial purposes.
4. Providers. The data is hosted on Google (Firebase) and Netlify services, which may be located outside Argentina, with appropriate security measures.
5. Security. HeliceX applies reasonable technical measures to protect the data. No system is infallible, and HeliceX will notify the Club if it becomes aware of an incident affecting its data.
6. Rights. Data subjects may request access, rectification or deletion of their data from the Club or at administracion@helicex.com. HeliceX will cooperate with the Club in responding.
7. Retention. The data is kept while the Club's account is active and as provided in clause 12.

7. Public information, shooters directory and Interclub

The Club accepts, and must inform its Shooters, that:

• Shooters' name, category and results are shown publicly on the TV screen, the standings, the final sheet, the Interclub overall standings and, if the Club enables it, on the HeliceX portal.
• The Service has a shooters directory shared among clubs: when registering with their ID number, the name and category remain available to automatically fill in future registrations at any club that uses the Service.
• In an Interclub, the results of each round are shared with the other participating clubs to build the overall standings.
• The registration, TV, judges' and standings links can be opened by anyone who receives them. The Club decides who it shares them with.

8. Online payments through Mercado Pago

1. If the Club enables online payments, Shooters' payments are processed with the Club's own Mercado Pago account. The money goes directly to that account: HeliceX does not receive, hold or manage those funds.
2. HeliceX does not see or store Shooters' card or bank account details.
3. Fees, withholdings, chargebacks, refunds and claims for those payments are the sole responsibility of the Club, under its own terms with Mercado Pago.
4. The Club must safeguard its Mercado Pago Access Token and may replace or remove it at any time.
5. The "paid" mark in the App depends on the notifications sent by Mercado Pago. In case of any difference, what appears in the Club's Mercado Pago account prevails.

9. Service availability

1. The Service is provided "as is" and "as available". HeliceX does not guarantee that it will work without interruption, delays or errors.
2. The Service depends on the internet, on each User's devices and on third-party services (Google/Firebase, Netlify, Mercado Pago, PayPal), over which HeliceX has no control.
3. HeliceX may carry out updates and maintenance, and modify, add or remove features. It will try to do so outside usual tournament hours and to give advance notice of important changes.
4. The Club is advised to have its own backup (for example, paper sheets) to continue the tournament in case of any failure.

10. Limitation of liability

To the maximum extent permitted by law, HeliceX is not liable for:

• Outages, slowness or failures of the internet, the power supply or the devices of the Club, its judges or the Shooters.
• Failures, delays, changes or decisions of third-party services, such as Mercado Pago, PayPal, Google/Firebase or Netlify.
• Errors, omissions or incorrect data entered by the Club, its judges or the Shooters, nor for decisions made based on them.
• Results, standings, tiebreakers, prizes, payments, refunds or any dispute between the Club, its judges and the Shooters.
• Unauthorized access caused by the disclosure or careless handling of the Club's credentials, links or codes.
• Loss of data, loss of profits, damage to reputation or any indirect damage arising from the use of, or inability to use, the Service.

In any case, HeliceX's total liability towards the Club is limited to the amount paid by the Club in the last 12 months. This limitation does not apply in cases of willful misconduct or gross negligence by HeliceX.

11. Intellectual property

1. The Service, its code, design, the "HeliceX" brand, logos, flyer templates and images are the property of HeliceX or its licensors. The subscription grants the Club a personal, non-exclusive and non-transferable license to use it while it is in force.
2. The Club Data, its name and its logo remain the Club's. The Club authorizes HeliceX to use them only to provide the Service, for example to show them on the TV, on flyers or on the portal if the Club enables it.
3. Flyers generated with the Service may include the caption "Made with HeliceX · helicex.com".

12. Suspension, termination and fate of the data

1. The Club may close its account at any time by notifying administracion@helicex.com. Closing the account does not entitle the Club to a refund of the period already paid.
2. HeliceX may suspend or cancel an account if the Club does not pay, breaches these Terms, uses the Service illegally or puts the security of the Service or of other clubs at risk.
3. During the 30 days after termination or expiry, the Club may request a copy of its data. After that period, HeliceX may permanently delete it.
4. Results already published in other clubs' Interclubs may be kept so as not to alter their standings.

13. Changes to the Terms

HeliceX may modify these Terms. Changes will be published at helicex.com/terminos and notified to the Club within the App at least 15 days in advance. If the Club keeps using the Service after that date, it is understood to accept the new version. If it does not agree, it may close its account as provided in clause 12.

14. Governing law, jurisdiction and contact

1. These Terms are governed by the laws of the Argentine Republic.
2. In case of any dispute, the parties will first try to resolve it in good faith. If they cannot, they submit to the ordinary courts of the city of Rosario, province of Santa Fe, waiving any other jurisdiction.
3. For clubs in other countries, the applicable data protection rules will also apply (for example, the GDPR in the European Union or the LGPD in Brazil).
4. If any clause is declared invalid, the rest of the Terms will remain in force.
5. This English version is a translation. In case of any discrepancy, the Spanish version prevails.
